This online platform (the "Platform") facilitates the connection between wellness, therapy, coaching, and yoga professionals (the "Professionals") and users (the "Users") seeking services in these fields.

The platform operates under the SuperMe brand by MyEntourage Sàrl, a Swiss limited liability company (CHE-410.574.084). Currently, three professional categories access the platform: yoga teachers, coaches (life coaching, executive coaching, wellness coaching, parenting), and therapists.

These general terms and conditions are applicable to the Professionals ("GTC-Professionals").

Registration and completing the onboarding process constitutes express acknowledgment of having read and accepted these conditions. The agreement binds MyEntourage Sàrl and the Professional. Separate "General Terms and Conditions applicable to Users ("GTC-Users")" are available elsewhere.

Only individuals or legal entities authorized to practice the profession(s) for which they register on the Platform may register and use the Platform as a Professional.

If a legal entity registers, any employee or representative using the platform on its behalf automatically accepts these terms. They must declare authorization to act in that capacity.

Subject to payment obligations, MyEntourage Sàrl grants the Professional a revocable, non-exclusive, and non-transferable right to access the Platform and the Services.

The platform operates as a Software-as-a-Service model — no copy transfers to users. MyEntourage may modify platform features and functionalities; such developments automatically integrate unless stated otherwise.

Creation and login are mandatory for platform access. Professionals must provide accurate identity information, qualifications, and practice authorization compliant with professional ethics standards.

Professionals agree not to misrepresent credentials or claim false practice rights. Information requires immediate updating upon changes. MyEntourage may request supporting documents including diplomas, curricula vitae, sworn statements, and — for therapists — compliance certificates and liability insurance proof.

MyEntourage Sàrl is entitled to verify and/or have verified, by a specialized third-party provider, the identity of each account holder.

False or misleading information triggers immediate suspension or termination without notice. Professionals bear confidentiality responsibility for provided identifiers; losses require immediate reporting. MyEntourage charges replacement fees.

Services include platform access, connection with users, appointment management, teleconsultation organization, billing administration, personalized profiles, professional resources, and complementary offerings MyEntourage determines.

MyEntourage Sàrl undertakes to provide maintenance services for the Platform in order to identify and resolve issues that may negatively affect its proper functioning and availability.

Maintenance windows, announced beforehand, may cause partial or complete unavailability. MyEntourage intervenes without notice when circumstances require. The company improves services continuously but cannot guarantee evolutionary developments or additional services based on professional requests.

MyEntourage Sàrl strives to maintain the availability of the Platform and Services, without guaranteeing it.

Payment of royalties follows article 10.1 requirements. Professionals must comply with applicable laws, regulations, and professional ethics while exercising their activities.

Prohibited uses include illegal purposes, third-party benefit, copying platform components, introducing malware, accessing source code, and creating competing products. Professionals must provide quality services adhering to ethical standards.

Any behavior deemed inappropriate, unethical, disrespectful or non-compliant with these GTC-Professionals may be reported by a User or a third party.

Professionals must honor scheduled appointments with justified cancellations and reasonable notice. They must avoid conflicts of interest with users or involved third parties, disclosing such situations to MyEntourage.

Appointments occur exclusively through the platform without prior written authorization. Profile information must remain accurate and current. Professionals submit brief, anonymous session reports describing improvement suggestions — maximum twice yearly upon request.

MyEntourage Sàrl remains the exclusive owner of all copyrights, databases, trademarks (including the trademark "SuperMe"), domain names, designs and invention patents, know-how, confidentiality and/or trade secrets, and all other intellectual property rights.

No terms transfer intellectual property rights to professionals. Professionals must immediately report violations or imminent risks to MyEntourage with complete information.

If third parties claim intellectual property violations connected to professional service use, MyEntourage Sàrl may, at its discretion, without obligation, (i) acquire the necessary rights, or (iv) withdraw the Professional's rights to access and use the relevant Services, in which case MyEntourage Sàrl will reimburse the Professional for any fees already paid.

Services integrate third-party content and functionalities requiring compliance with their terms. Professionals manage activated integrations and control information dissemination through their accounts.

The Professional's use of the Platform and Services gives rise to the payment of royalties ("Royalties"), which will be deducted from each transaction carried out via the Platform, particularly during payments by Users.

The royalty structure mandates a minimum of 20% with a minimum of 20 Euros per session.

Unless otherwise stated, Royalties are payable immediately. Royalties are non-refundable, even in the event of early termination by the Professional. Payment is made by the payment platform automatically.

All stated amounts exclude taxes; VAT and applicable taxes are added and invoiced separately per applicable legislation.

MyEntourage Sàrl maintains a privacy policy describing how personal data is collected through the Platform and for what purposes.

Both parties must fully comply with their respective obligations under applicable data protection laws and regulations.

Each party must keep strictly confidential all non-public information exchanged within their contractual relationship. Exceptions apply for publicly accessible information or legally required disclosures. The obligation persists for a period of 5 years from the end of such use.

Professionals must maintain strict confidentiality of personal, sensitive, or medical data of users. This covers identification details, session content, and generated notes. Unauthorized disclosure constitutes a violation potentially resulting in suspension or deletion of the account or legal proceedings.

MyEntourage Sàrl may communicate that the professional uses the platform, granting a limited license to use their name, logos, and trademarks for marketing purposes.

Services are provided "as is" and "as available."

The company offers no warranty, express or implied, legal or contractual regarding service quality, continuous accessibility, defect correction, or permanent third-party compatibility.

MyEntourage Sàrl disclaims liability for direct or indirect damages from simple negligence. The company is liable only in case of gross negligence or proven fraud. The company excludes indirect, consequential, unforeseeable damages regardless of prior notification.

The platform does not provide any care, therapy, coaching, or wellness services and does not guarantee the quality, effectiveness, or legality of professional services.

Professionals bear exclusive responsibility for service use. MyEntourage Sàrl provides no warranty as to the results and bears no liability for non-compliant or unlawful use.

Using the internet involves risks of data interception. MyEntourage Sàrl disclaims all liability regarding temporary or permanent unavailability from technical causes.

Total liability is limited to the total amount of fees actually paid during the preceding 12-month period.

Liability exclusions extend to directors, officers, employees, representatives, subcontractors, and auxiliaries.

Professionals must defend, hold harmless, and indemnify MyEntourage Sàrl from liability arising from unauthorized service use or professional practice, including claims from patients.

MyEntourage Sàrl must notify professionals without undue delay of claims and allow the Professional to assist in defense with self-selected counsel at their own expense.

Terms become effective upon their acceptance by the Professional during registration or their first use.

Access continues as long as the Professional is registered on the Platform and meets the conditions.

Either party may terminate with a 20 workable day notice before the end of the current period, via platform tools or termination form.

MyEntourage Sàrl may suspend or terminate access with immediate effect for serious breaches. If remedial, written notice of 7 days is provided. The company may also terminate for risk or finding of infringement of third-party rights.

Services cease immediately; access rights end automatically; paid fees remain with MyEntourage Sàrl; confidentiality and liability provisions remain in effect.

The parties are independent of each other with no right to bind or obligate the other. No employment or agency relationship is created.

MyEntourage Sàrl may engage subcontractors but remains not released from its obligations.

Neither party defaults if performance is prevented by force majeure event such as natural disaster, war, epidemic, riot, strike, hacking, or network failure.

MyEntourage Sàrl may modify terms by email notice. Modifications take effect at the beginning of the next renewal period absent termination.

Terms are governed by substantive Swiss law, to the exclusion of its conflict of law rules.

Disputes fall under exclusive jurisdiction of the competent courts at the registered office of MyEntourage Sàrl, in Switzerland.
